1Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User") and Rosetta Elliptic Partners Pvt Ltd, operating the TruCover Wellness platform ("Platform"). By registering, accessing, or using the Platform in any manner, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are accessing the Platform on behalf of an organisation (as an HR administrator or authorised representative), you represent that you have the authority to bind that organisation to these Terms.

2Platform Description

TruCover Wellness is a preventive health and wellness platform integrated with group health insurance administration. The Platform provides:

• Doctor consultations (24/7) across 200+ specialists — general physicians, paediatricians, psychiatrists, Ayush practitioners, yoga and fitness coaches
• Annual health check scheduling and coordination with diagnostic network partners
• Employee wellness tracks: mental wellness, hydration, sleep, ergonomics
• Group health insurance policy management for HR teams
• Insurance claims support, document submission, and 24/7 claim tracking
• Insurance distribution tools for IRDAI-licensed intermediaries and agents

3User Categories & Eligibility

3.1 Employees

Must be employed by a corporate entity that has subscribed to TruCover Wellness. Access is granted via HR-initiated onboarding. Users must be 18 years or older.

3.2 HR Administrators

Must be an authorised representative of a corporate client with a valid TruCover corporate subscription.

3.3 IRDAI Licence Holders

Must hold a valid IRDAI licence (Composite Broker, Direct Broker, or Corporate Agent) and have executed a Distribution Agreement with Rosetta Elliptic Partners Pvt Ltd.

3.4 Individual Agents

Must hold a valid IRDAI individual agent licence and be registered under the TruCover agent network.

4Account Security

• You are responsible for maintaining the confidentiality of your login credentials
• You must notify us immediately at bd@trucover365.com if you suspect unauthorised access
• TruCover will never ask for your password via email, SMS, or phone call
• Multi-factor authentication is mandatory for HR admin and intermediary accounts
• Account sharing is strictly prohibited

5Acceptable Use

You agree to use the Platform only for its intended purpose and in compliance with all applicable laws. You must NOT:

• Provide false, misleading, or fraudulent information during registration or consultations
• Attempt to access accounts, data, or systems beyond your authorised role
• Use the Platform to conduct unauthorised insurance solicitation
• Upload malicious code, viruses, or any content designed to disrupt the Platform
• Reproduce, distribute, or commercialise any part of the Platform without written consent
• Misuse the doctor consultation feature for purposes other than personal healthcare guidance
• Attempt to reverse engineer, decompile, or extract source code from the Platform

6Medical Disclaimer

TruCover Wellness and Rosetta Elliptic Partners Pvt Ltd accept no liability for clinical decisions made solely on the basis of platform consultations. Users are advised to seek in-person medical attention for all serious or urgent health concerns.

7Insurance Disclaimer

TruCover Wellness facilitates the distribution of group health insurance products through IRDAI-licensed intermediaries. TruCover itself is not an insurer. All insurance products are underwritten by IRDAI-registered insurance companies. Policy terms, coverage, exclusions, and claim decisions are governed solely by the insurer's policy document.

• TruCover does not guarantee claim approval or settlement amounts
• Commission structures for intermediaries and agents are governed by applicable IRDAI regulations
• Policy recommendations are provided for informational purposes only — users should read the policy document carefully before purchasing

8Intellectual Property

All content on the Platform including but not limited to software, algorithms, wellness content, doctor consultation interfaces, HR dashboards, branding, logos, and documentation is the exclusive intellectual property of Rosetta Elliptic Partners Pvt Ltd or its licensors. No part may be copied, reproduced, modified, or distributed without prior written permission.

9Platform Availability

TruCover Wellness targets 99.5% platform uptime, excluding scheduled maintenance windows (communicated 48 hours in advance). We are not liable for downtime caused by force majeure events, third-party service failures, or user-side connectivity issues.

10Termination

TruCover reserves the right to suspend or terminate your access to the Platform with immediate effect if:

• You breach any provision of these Terms
• You engage in fraudulent activity related to insurance claims or policy solicitation
• Your IRDAI licence is suspended or revoked
• The corporate subscription of your employer is discontinued

11Limitation of Liability

To the maximum extent permitted by applicable law, Rosetta Elliptic Partners Pvt Ltd shall not be liable for:

• Indirect, incidental, or consequential damages arising from Platform use
• Loss of data due to events beyond our reasonable control
• Decisions made on the basis of wellness assessments, health scores, or doctor consultation summaries
• Any dispute between a user and an insurer regarding claim settlement

12Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration & Conciliation Act, 1996, with the seat of arbitration in Hyderabad, Telangana.

13Amendments

TruCover reserves the right to modify these Terms at any time. Users will be notified of material changes via email or in-app notification at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance.
